Statute Text
Report
to members and other persons of indemnification.
If a corporation indemnifies or
advances expenses to a director under ORS 65.391 to 65.401 in connection with a
proceeding by or in the right of the corporation, the corporation shall report
the indemnification or advance in writing to:
(1) The members
with or before the notice of the next meeting of members; and
(2) Any person
having the right to designate or appoint the director no later than 90 days
after the first indemnification or advance. [1989 c.1010 §169; 1991 c.231 §13]
