Number
of directors.
(1)
A board of directors must consist of one or more individuals for a mutual
benefit or religious corporation and three or more individuals for a public
benefit corporation, with the number specified or fixed in accordance with the
articles of incorporation or bylaws.
(2) The articles
of incorporation or bylaws may establish a variable range for the size of the
board of directors by fixing a minimum and maximum number of directors. If a
variable range is established, the number of directors may be fixed or changed
periodically, within the minimum and maximum, by the members or the board of
directors. If the articles of incorporation establish a fixed or a variable
range for the size of the board of directors and the corporation has members
entitled to vote for directors, then only the members may change the range for
the size of the board or change from a fixed or a variable-range size board. [1989
