Statute Text
Quorum
requirements.
(1)
Unless the articles of incorporation or bylaws provide for a higher quorum,
votes represented at a meeting of members constitute a quorum.
(2) An amendment
to the articles of incorporation or bylaws to decrease the quorum for any
action of the members may be approved by the members or, unless prohibited by
the articles of incorporation or bylaws, by the board of directors.
(3) An amendment
to the articles of incorporation or bylaws to increase the quorum required for
any action of the members must be approved by the members. [1989 c.1010 §62;
