Statute Text
Liability for preincorporation transactions.
All persons purporting to act as or on behalf of a
corporation organized or subject to the authority of this chapter, knowing
there was no incorporation under this chapter at the relevant time, may be held
to be jointly and severally liable for all liabilities created while so acting
if, under the circumstances, it is equitable to do so. [1989 c.1010 §23]
