Statute Text
Amendment by members.
Except as otherwise provided in ORS 63.441 or in the articles of organization
or any operating agreement, all amendments to the articles of organization or
any operating agreement must be approved unanimously by the members. Unless
otherwise provided in the articles of organization or any operating agreement,
the managers, if any, of the limited liability company may, but need not,
propose or take a position recommending or disapproving any such proposed
