Statute Text
Making
contract involving securities without intending a bona fide sale or purchase.
No person, whether acting in the
persons own right, or as the officer, agent, servant, correspondent or
representative of another, shall, as broker make or offer to make, assist in
making or offering to make, perform or take part in any contract respecting the
purchase or sale, either upon credit or margin, of any securities or
commodities more than once, and in course of continuing or repeated
transactions:
(1) Intending
that the contract shall be terminated, closed or settled according to, or upon
the basis of the public market quotations of or prices made on any board of
trade or exchange or market which deals in such commodities or securities, and
without intending a bona fide purchase or sale of the same; or
(2) Intending
that the contract shall be deemed terminated, closed and settled when the
market quotations or prices mentioned in subsection (1) of this section for the
securities or commodities named in the contract reach a certain figure, without
intending a bona fide purchase or sale of the same; or
(3) Not intending
the actual bona fide receipt or delivery of such securities or commodities, but
intending a settlement of the contract based upon the difference in the public
market quotations or prices, mentioned in subsection (1) of this section, at which
the securities or commodities are, or are asserted to be, bought or sold. The
prosecution, conviction and punishment of a corporation for violation of this
section shall not be deemed to be a prosecution, conviction or punishment of
any of its officers, directors or stockholders.
