Application of general corporation law and merger and conversion provisions.
(1) The Oregon Business
Corporation Act is applicable to domestic and foreign professional corporations
except when inconsistent with this chapter. This chapter takes precedence in
the event of any conflict with provisions of the Oregon Business Corporation
Act.
(2) Subject to
the limitations of ORS 58.196, all provisions of the Oregon Business
Corporation Act governing mergers and conversions apply to domestic and foreign
