PER CURIAM: 1 Lenvill Spencer appeals from the district court's order dismissing his complaint without prejudice as frivolous, conclusory, and successive. Our review of the record and the district court's opinion discloses that this appeal is without merit. Accordingly, we grant Spencer's motion to proceed in forma pauperis and affirm on the reasoning of the district court. Spencer v. Security Bank, C/A No. 89-147-2 (S.D.W.Va. Feb. 8, 1989). We dispense with oral argument because the facts and legal contentions are adequately presented in the materials before the Court and argument would not aid the decisional process. We deny Spencer's motion for appointment of counsel. 2 AFFIRMED.
